Terms of Use

These Terms of Use are an agreement between you and Katalyna Labs LLC (“Katalyna,” “we,” or “us”), governing your use of the Katalyna website and application (the “Service”). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the Service.

• You must be at least 13 years old. The Service is not available to children under 13.
• If you are under 18, you may use the Service only with the knowledge and consent of a parent or legal guardian. That parent or guardian must read and accept these terms on your behalf and is responsible for your use of the Service, including any charges.
• You must provide accurate information and may maintain only one account for yourself.
• You may not use the Service if you are barred from doing so under applicable law.

Parents, counselors, and independent consultants may use Katalyna to support a student, but the account must reflect a real applicant and may not be resold or shared across multiple students.

• You may sign in with an email and password, or with a third-party provider (Google or Apple). Signing in through a provider is also subject to that provider's own terms.
• You are responsible for keeping your password secure and for all activity under your account.
• Tell us promptly at info@katalyna.app if you suspect unauthorized access.
• Accounts are personal. Don't share credentials or let others use your subscription.

Your responsibilities

• You must be the sole author of your essays, personal statements, and application responses.
• You are responsible for knowing and following the rules of every school, application platform, testing body, and honor code that applies to you — including their policies on the use of AI tools. Those rules vary and they change; check them yourself.
• You must not misrepresent your achievements, fabricate experiences, or submit content generated by any tool as if it were your own where that is prohibited.
• You must not use the Service to complete coursework, tests, or assessments in violation of an academic policy.

We may suspend or terminate accounts we reasonably believe are being used to commit academic fraud. You are solely responsible for the content you ultimately submit to any institution and for the consequences of doing so.

• Chance estimates are statistical estimates derived from public data such as published admit rates and score ranges. They are not predictions, probabilities of your specific outcome, or promises, and they cannot account for essays, recommendations, interviews, institutional priorities, or other unpublished factors.
• Cost and aid figures are averages reported by public data sources for past student cohorts. They are estimates for planning only — not a quote, an offer, an award, or a guarantee of any price or aid package. Only the institution can tell you what you will actually pay.
• Deadlines and school data may be incomplete or out of date. Some dates in Katalyna are typical-cycle estimates rather than confirmed institutional deadlines. Always verify every deadline and requirement directly with the institution. We are not liable for a missed deadline.
• Not professional advice. Katalyna does not provide legal, financial, investment, tax, immigration, or mental-health advice. Consult a qualified professional for those.

Katalyna is an independent product. We are not affiliated with, endorsed by, or sponsored by any college, university, law school, or testing or application organization, including the College Board, ACT, LSAC, or the Common Application. Names and data are used for identification and informational purposes only.

• Free plan: available at no cost, with feature limits that we may adjust over time.
• Katalyna Pro (monthly): $25 per month, billed monthly. Renews automatically until cancelled.
• Katalyna Pro (annual): $240 per year ($20 per month, billed annually). Renews automatically until cancelled.
• Season Pass: $199 once, for 12 months of Pro. This is a single payment, NOT a subscription — it does not renew automatically and there is nothing to cancel. Access ends when the term does.
• Year-Round: $99 per year, billed annually. Renews automatically until cancelled. Grants the planning tools and the weekly opportunity email; it does NOT include the unlimited AI features of Katalyna Pro.
• School and counselor seats: sold per student seat to schools and organisations under a separate written agreement, which governs those seats where it conflicts with these terms.
• Currency and tax: prices are in U.S. dollars and exclude any applicable taxes.
• Automatic renewal: the monthly and annual subscription plans renew automatically at the end of each billing period, and your payment method is charged, until you cancel. The Season Pass does not renew and will not charge you again.
• Cancellation: you may cancel a subscription at any time from the billing portal in your account. Cancellation stops future renewals; your Pro access continues through the end of the period you have already paid for. A Season Pass has nothing to cancel; it simply ends when its term does.
• Refunds: payments are non-refundable and we do not provide prorated refunds for partial periods, except where required by law. If you believe you were charged in error, contact info@katalyna.app and we'll review it in good faith.
• Price changes: we may change prices, but we will give you advance notice and changes apply only to periods after the notice.
• Failed payments: if a charge fails, we may downgrade your account to the free plan until payment succeeds.

Payments are processed by Stripe and are also subject to Stripe's terms. If you are under 18, a parent or guardian must be the one to authorize any purchase.

You agree not to:

• Use the Service for anything unlawful, harmful, harassing, or deceptive.
• Upload another person's personal information without a legitimate reason and, where required, their permission.
• Scrape, crawl, or bulk-extract data from the Service, or access it by automated means except through features we provide.
• Reverse engineer the Service, or attempt to discover our prompts, models, or source code.
• Use outputs from the Service to train a competing AI model or to build a competing product.
• Circumvent plan limits, rate limits, authentication, or any security measure.
• Resell, sublicense, or share access to the Service.
• Interfere with or overload our infrastructure or our providers'.

You own your content. Your essays, notes, brag sheet, and everything else you create in Katalyna remain yours.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your content solely for the purpose of operating the Service for you — for example, saving a draft, generating feedback you requested, or backing up your workspace. This license exists only so we can run the product, ends when you delete the content or your account, and grants us no right to publish, sell, or otherwise use your work.

Essays you submit for a human review

If you send us a draft through our public essay-review form (which does not require an account), you grant a broader, consent-based license than the one above: you allow Katalyna Labs LLC to store the submission and to use your essay and the details you provide to give you feedback, to improve the Service and the quality of our reviews, and as a de-identified example of how our feedback works — the essay or an excerpt with personal identifiers removed. We will never attach your name, handle, or contact details to such an example, we will not use your submission to train AI models, and we will not sell it. You confirm you are the sole author of what you submit and have the right to share it, and you may ask us to delete it at any time at privacy@katalyna.app. If you are under 18, a parent or guardian must consent before you submit, as the form requires.

You are responsible for your content and confirm you have the right to provide it to us.

The Service — including its software, design, text, and branding — is owned by Katalyna Labs LLC and protected by intellectual property law. We grant you a personal, non-transferable, revocable license to use the Service according to these terms. You may freely use the feedback and suggestions the Service generates for you in your own applications, subject to section 4.

Katalyna relies on third-party providers and displays information drawn from public sources such as the U.S. Department of Education College Scorecard, the Urban Institute, and Wikipedia. We don't control those sources and don't warrant that their data is accurate, complete, or current. Links to other websites are provided for convenience and are not endorsements.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms, if we're required to by law, or to protect the Service and its users. If we terminate your account without cause while you have paid Pro time remaining, we will refund the unused portion. Sections that by their nature should survive termination — including sections 5, 8, 9, and 12 through 15 — will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content, estimate, or AI output will be accurate or complete.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATALYNA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, OPPORTUNITIES, OR DATA — INCLUDING ANY ADMISSIONS DECISION, SCHOLARSHIP, FINANCIAL-AID OUTCOME, OR MISSED DEADLINE — ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these terms limits liability that cannot be limited by law.

You agree to indemnify and hold harmless Katalyna Labs LLC and its officers, employees, and agents from any claims, damages, and reasonable legal fees arising from your misuse of the Service, your violation of these terms, your violation of any academic policy or honor code, or your infringement of another's rights. If you are a parent or guardian accepting these terms for a minor, this applies to that minor's use as well.

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Katalyna agree to the exclusive jurisdiction of the state and federal courts located in the State of New York for any dispute not resolved informally.

If you have a problem, email info@katalyna.app before filing anything. Most issues are resolved quickly, and we ask that both sides try in good faith to resolve a dispute informally for at least 30 days.

We may update these terms as the Service evolves. We'll revise the “Last updated” date, and for material changes we'll give notice by email or in the app before they take effect. Continuing to use the Service after a change means you accept the updated terms.
